Adobe announced on November 19, 2025, that it has entered into a definitive agreement to acquire Semrush Holdings Inc. in an all-cash transaction valued at approximately $1.9 billion. The deal, which aims to strengthen Adobe’s offerings in digital marketing and brand visibility, comes as companies increasingly rely on generative AI for customer engagement.
Under the terms of the merger agreement dated November 18, 2025, Adobe will pay $12 per share for Semrush, a price that represents a 77.5 percent premium over Semrush’s closing stock price of $6.76 on November 18, 2025.
Semrush, with a market capitalization of just over $1 billion before the announcement, provides software for search engine optimization (SEO), social media analysis, and digital advertising. The acquisition will integrate Semrush’s tools into Adobe’s suite, including products like Adobe Experience Manager and Adobe Analytics.
The digital marketing merger is expected to close in the first half of 2026, subject to customary conditions. These include approval by Semrush stockholders holding a majority of voting power, expiration of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act, and other regulatory clearances. The agreement also includes a $63 million termination fee payable by Semrush under certain circumstances, such as if it pursues a superior proposal.
Strategic Benefits of the SEO Software Deal
Adobe highlighted the strategic rationale for the Adobe Semrush acquisition, noting the growing importance of generative AI in marketing. “Brand visibility is being reshaped by generative AI, and brands that do not embrace this new opportunity risk losing relevance and revenue,” said Anil Chakravarthy, president of Adobe’s Digital Experience Business. The combination will help marketers understand how their brands appear across owned channels, large language models like ChatGPT, and traditional search engines.
Semrush brings expertise in generative engine optimization (GEO) alongside its SEO capabilities, addressing a market where traffic from AI platforms to retail sites surged 1,200 percent year-over-year in October 2025. Bill Wagner, chief executive officer of Semrush, added, “This combination provides marketers more insights and capabilities to increase their discoverability across today’s evolving digital landscape”.
The deal follows Adobe’s scrapped $20 billion attempt to buy Figma in 2023 due to regulatory concerns, marking its first major acquisition since then. Analysts suggest this smaller transaction may face less scrutiny, given its focus on complementary marketing tools rather than direct competition.
